Archadia Systems provides software development services including custom software, mobile applications, AI and machine learning solutions, e-commerce development, workflow automation, consulting, and technical advisory.
3. Project Agreements
Each project will be governed by a separate agreement or statement of work outlining scope, deliverables, timeline, and payment terms.
4. Intellectual Property
Website content and functionality remain the property of Archadia Systems. Upon full payment, clients receive ownership of custom deliverables as specified in their project agreement.
5. Payment Terms
Payment terms are specified in individual project agreements. Work may be paused on overdue accounts, and fees are non-refundable unless otherwise stated.
6. Client Responsibilities
Clients agree to provide timely feedback, required assets, access credentials, authorized project contacts, and materials that do not infringe third-party rights.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during a project. This obligation survives the termination of any project or these Terms.
8. Warranties and Disclaimers
Services are performed professionally, but we do not warrant that services will be uninterrupted or error-free, and we are not responsible for third-party services or integrations.
9. Limitation of Liability
To the maximum extent permitted by law, Archadia Systems shall not be liable for indirect, incidental, special, consequential, or punitive damages resulting from use of our services.
10. Indemnification
You agree to indemnify and hold harmless Archadia Systems, its officers, directors, employees, and agents from claims arising from your use of our services or violation of these Terms.
11. Termination
Either party may terminate a project agreement according to its terms. We may suspend access for conduct that violates these Terms or harms users, us, or third parties.
12. Governing Law
These Terms shall be governed by applicable laws, without regard to conflict of law principles.
13. Changes to Terms
We may modify these Terms at any time by posting updated terms on the website. Continued use of services after modifications constitutes acceptance.
